            Except as specifically modified by these Simplivet General Terms and Conditions (the Simplivet General Terms), our standard terms and conditions of sales (Terms of Sale) as in effect from time to time apply to your use of Simplivet Software and Services. These Simplivet General Terms and Terms of Sale, together with any Specific Agreement agreed between Simplivet and you (collectively, our Agreement), set out Simplivet’s, and your, rights and obligations in relation to the Simplivet Software and the Services.

In the event of any inconsistency between the Specific Agreement, the Terms of Sale, and these Simplivet General Terms, they take precedence in the following order: First, the Specific Agreement (unless it specifically states otherwise); second, these Simplivet General Terms; and third, the Terms of Sale.

In these Simplivet General Terms, references to “you” or “your” refer to both you in your personal capacity as well as the Subscriber you are authorized to represent. If you are an Authorized User (as defined below), you must also accept these Simplivet General Terms in order to use the Simplivet Software and the Services.

In these Simplivet General Terms, any references to “Simplivet”, “we”, or “our” refer to the entity set out in the Specific Agreement.

            By using the Simplivet Software and receiving the Services you agree to follow and be bound by the terms and conditions of our Agreement. If you do not agree to all the terms and conditions in our Agreement, you must not use the Simplivet Software or receive the Services.

 

 

Amendments to these Simplivet General Terms

            These Simplivet General Terms may be varied by Simplivet at any time. We will advise you of any material changes to the Simplivet General Terms by providing you with reasonable prior notice of such changes before they become effective unless we need to make immediate changes to these Simplivet General Terms to comply with any applicable law. If any change to the Simplivet General Terms is not material (i.e. the change does not materially impact your rights and/or obligations under our Agreement), we may not notify you. Any proposed changes to Simplivet these General Terms will not apply retrospectively. You can keep track of changes to our Simplivet General Terms by referring to the “last updated” date at the top of these Simplivet General Terms. You must ensure that you have read, understood, and agree to the most recent version of these Simplivet General Terms.

Access to Simplivet Software and Authorized Users

            Whether you are the Subscriber or an Authorized User, Simplivet grants you a non-exclusive, non-transferable right to access and use the Simplivet Software and its Documentation during the Subscription Term, solely for the Subscriber’s internal business operations and in compliance with this Agreement.

As the Subscriber:

a) You are responsible for the actions and use of the Simplivet Software by your Authorized Users.

b) You must ensure that the number of Authorized Users does not exceed the limit specified in your Agreement. Authorized Users should be employees, contractors, or agents of your business who you explicitly authorize to use the Simplivet Software and Services. If you wish to include an external third-party service provider, you must first obtain Simplivet’s written approval. For third parties providing benchmarking or services to multiple Simplivet clients, a separate API integration agreement may be required.

c) You are responsible for managing access levels for each Authorized User. Simplivet is not liable for any issues arising from the actions or omissions of your Authorized Users in their use of the Software.

d) You must maintain an up-to-date list of Authorized Users and provide it to Simplivet within 5 Business Days of any request.

e) Both you and your Authorized Users must maintain secure, confidential login credentials for accessing the Simplivet Software and Documentation.

f) You must ensure that your Authorized Users understand and agree that their use of the Simplivet Software is subject to the terms outlined in this Agreement.

g) You agree to allow Simplivet to audit your use of the Software at any time to verify compliance. If underpayment of Subscription Fees is discovered during the audit, you must pay the outstanding amount immediately.

h) If unauthorized access to login details is detected, you must promptly disable the account or allow Simplivet to do so.

Any actions or omissions by your Authorized Users will be considered your own. Simplivet reserves the right to terminate the access of any Authorized User found in violation of this Agreement, or if their actions cause you to breach the Agreement.

Intellectual Property

            All content, design, logos, and software related to Simplivet are owned by Simplivet and protected under applicable intellectual property laws. You may not use or distribute any content without our prior written consent.

 

 

Restrictions on Use

• Prohibited Activities: You may not use Simplivet for any unlawful purpose, to harm others, or to disrupt the services of other users. This includes uploading viruses, engaging in hacking, or violating intellectual property rights.

• Modification and Access: You may not attempt to reverse-engineer, modify, or gain unauthorized access to Simplivet or its underlying systems.
