These Terms of Use (“Terms”) govern access to and use of the Simplivet mobile application and related services (the “Services”) provided by Plasmodium Technologies Private Limited (“Simplivet”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility and Authorized Use

The Services are intended solely for use by licensed veterinary clinics and their authorized personnel.

By using the Services, you represent and warrant that:

  • You are authorized to access and use the Services on behalf of a veterinary clinic;

  • All information provided during account registration is accurate;

  • You will use the Services in compliance with applicable laws and professional regulations.

The Services are not intended for use by the general public.

2. Nature of Services

Simplivet provides software infrastructure for managing veterinary practice operations, including medical records, client information, scheduling, and communications.

Simplivet:

  • Does not provide veterinary advice;

  • Does not practice medicine or veterinary care;

  • Is not responsible for clinical decisions, diagnoses, prescriptions, or treatment outcomes.

All medical and professional decisions remain solely the responsibility of the clinic and its licensed professionals.

 

3. Account Security

You are responsible for:

  • Maintaining the confidentiality of login credentials;

  • Restricting access to authorized personnel only;

  • All activities are conducted under your account.

You must notify us immediately of any unauthorized access or security breach.

 

4. Data Responsibility

Clinics are solely responsible for:

  • Accuracy of data entered into the system;

  • Obtaining required consents from pet owners;

  • Ensuring lawful sharing of medical records via email, SMS, or messaging platforms;

  • Compliance with applicable data protection laws.

Simplivet acts as a software provider and processes data on behalf of clinics as described in the Privacy Policy.

 

5. Third-Party Services

The Services may integrate with or rely on third-party services, including:

  • Amazon Web Services (hosting and email)

  • Gupshup (WhatsApp and SMS messaging)

  • Mixpanel (analytics)

  • Sentry (error monitoring)

 

Simplivet is not responsible for the independent practices, outages, or security measures of third-party providers.

 

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes;

  • Upload malicious code;

  • Attempt unauthorized access to systems;

  • Reverse engineer or decompile the application;

  • Use the Services in a manner that disrupts or damages infrastructure.

 

We reserve the right to suspend or terminate accounts that violate these Terms.

 

7. Intellectual Property

All intellectual property rights in the Services, including software, design, branding, and documentation, are owned by Simplivet.

These Terms grant a limited, non-exclusive, non-transferable license to use the Services during the subscription period.

No ownership rights are transferred.

8. Availability and Modifications

We may:

  • Modify features;

  • Release updates;

  • Perform maintenance;

  • Suspend access for security or operational reasons.

We do not guarantee uninterrupted availability.

 

9. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Simplivet disclaims all warranties, express or implied, including:

  • Fitness for a particular purpose;

  • Non-infringement;

  • Accuracy or completeness of information.

10. Limitation of Liability

To the maximum extent permitted by law:

Simplivet shall not be liable for:

  • Clinical errors or medical decisions;

  • Loss of data caused by user actions.

  • Indirect, incidental, special, or consequential damages;

  • Loss of profits, revenue, or goodwill.

 

Total liability shall not exceed the fees paid by the clinic in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold Simplivet harmless from claims arising from:

  • Clinical negligence;

  • Unauthorized data sharing;

  • Violation of applicable laws;

  • Breach of these Terms.

12. Termination

We may suspend or terminate access if:

  • These Terms are violated;

  • Required by law;

  • Necessary for security reasons.

Upon termination, access to the Services will cease in accordance with our data retention policies.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts located in Bangalore, Karnataka, India.

14. Changes to Terms

We may update these Terms periodically and will notify "you", the user, by means of email or any other preferred communication set on the Simplivet platform during onboarding. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
